TERMS AND CONDITIONS OF SILVER PARTNERSHIP

PREAMBLE

These Terms and Conditions constitute valid legal evidence that THE PARTIES have agreed to cooperate in marketing and selling ZAHIR software.

ARTICLE 1

Purpose and Objective

The Purpose of this Partnership is to market, sell, implement products, and provide Training for services of PT Zahir Internasional produced by ZAHIR to companies that are PARTNER’s clients by utilizing the potential owned by each party.

ARTICLE 2

Scope of Cooperation

  1. Product selling prices are determined by ZAHIR. The products included in the scope of cooperation are Zahir Accounting, Zahir HR, Zahir POS, and Zahir ERP.

  2. PARTNER is required to carry out Promotion, Follow Up, Presentation, training, and support regarding Zahir Accounting, Zahir HR, and Zahir POS Products to Clients.

  3. PARTNER is required to carry out Promotion, Recommendation, Follow Up, and implementation regarding Zahir ERP Products to Prospective Clients.

  4. PARTNER receives a fee of 40% (Forty Percent) of the product price if PARTNER successfully sells Zahir Accounting, ZAHIR HR, and Zahir POS Products and conducts training for the client.

  5. If training is conducted by ZAHIR, PARTNER shall only receive a commission of 30% (Thirty Percent).

5.1 PARTNER is required to send an email to the ZAHIR admin for price quotations to PARTNER’s client.

  • ZAHIR Admin will provide an official price quotation to PARTNER to be forwarded to PARTNER’s client.

  1. ZAHIR is obligated to issue a fee of 20% (Twenty Percent) of the product price if PARTNER successfully sells Zahir ERP Products.

  2. PARTNER will receive general training regarding Zahir ERP products along with marketing tools to facilitate the initial presentation process to PARTNER’s prospective Zahir clients.

  3. PARTNER is required to inform ZAHIR whenever a client wishes to use ZAHIR ERP products so that ZAHIR can follow up.

8.1 PARTNER is required to coordinate with ZAHIR whenever a PARTNER client intends to purchase ZAHIR ERP products.

8.2 PARTNER is required to attend offline or online sessions alongside the ZAHIR team and prospective Zahir ERP clients until a decision to purchase or not is reached.

  1. Sales commissions will be disbursed by ZAHIR to PARTNER after payment from PARTNER’s client to ZAHIR is completed. Requirements for PARTNER to receive commissions are as follows:

9.1 Zahir Accounting, Zahir POS, Zahir HR

– PARTNER is required to submit proof of payment from SECOND PARTY’s client to ZAHIR admin for verification.

– ZAHIR will issue an invoice to PARTNER to be forwarded to PARTNER’s client.

– PARTNER is obligated to send a Commission Summary to ZAHIR admin during the first week of every month or in accordance with information sent by ZAHIR admin to PARTNER via email. (The Commission Summary format will be sent by ZAHIR admin to PARTNER following the execution of this agreement).

– PARTNER’s commission will be remitted by ZAHIR during the 2nd (second) or 3rd (third) week of the same month in which the commission summary was submitted.

– Should PARTNER be late in submitting the commission summary past the date notified by the ZAHIR admin team, the commission will be remitted to PARTNER in the following month.

9.2 Zahir ERP

  • PARTNER’s commission will be paid by Zahir upon completion of the partner client’s payment for each installment term.

  • PARTNER shall continuously receive commissions whenever the partner client adds users or entities in the future.

  • VIP Support Services for Zahir ERP are excluded from partner commission categories.

10. PARTNER is obligated to pay a Silver partnership registration fee to ZAHIR in the amount of IDR 5,000,000.- (Five Million Rupiah) valid for 2 (Two) years, with renewal payments required upon each renewal of this contract.

ARTICLE 3

Term of Cooperation

This cooperation shall be effective for 2 (two) years from the agreement to these terms and conditions by PARTNER.

ARTICLE 4

Confidentiality

THE PARTIES agree that each party possesses trade secrets and confidential business information, know-how, and processes (collectively referred to as “CONFIDENTIAL INFORMATION”), whether or not designated as confidential, whether oral or written (in electronic form or otherwise). In this regard, each party is prohibited from disclosing such CONFIDENTIAL INFORMATION to any third party, except as required by laws and regulations or with the prior written consent of the other party. All CONFIDENTIAL INFORMATION shall be treated as confidential by THE PARTIES under all circumstances until such time as the other party can prove that the information is no longer confidential.

ARTICLE 5

Dispute Resolution

  1. In the event of a dispute or difference in interpretation arising in connection with this mutual agreement, the parties shall make their best efforts to resolve such dispute or interpretation. To that end, the Parties shall consult and negotiate with each other in good faith for mutual benefit to achieve a fair and satisfactory resolution.

  2. If within 30 (thirty) days from the issuance of a complaint the Parties are unable to reach a settlement, all disputes and differences in interpretation arising shall be decided unilaterally by ZAHIR, meaning ZAHIR may terminate the Partnership agreement with PARTNER unilaterally without any claims whatsoever from PARTNER.

ARTICLE 6

Closing Provisions

  1. Regarding issues arising in the future, efforts shall be made to resolve them amicably and by mutual consensus.

  2. Other matters not yet regulated under these terms & conditions shall be governed in additional rules that constitute an integral part of these terms & conditions.

  3. If in the future there are errors, oversights, or circumstances that render these terms & conditions no longer suitable, they shall be amended accordingly.

  4. These Terms & Conditions are deemed legally valid after being agreed upon by the prospective partner and submitted to ZAHIR.
